Welcome to Propel OS. These Terms of Service ("Terms") govern your access to and use of the Propel OS platform, including our web dashboard, mobile interfaces, API, and the Propel OS WhatsApp Command Center (collectively, the "Services").
Propel OS provides a multi-tenant B2B Software-as-a-Service (SaaS) ERP tailored for real estate agencies in Nigeria. By registering an account, accessing, or using our Services, you ("Agency", "User", "you") agree to be bound by these Terms.
1. Account Registration and Roles
1.1. Eligibility: You must be a legally recognized real estate agency, property management firm, or authorized representative thereof, operating in accordance with the laws of the Federal Republic of Nigeria to use Propel OS.
1.2. Role-Based Access Control (RBAC): Propel OS operates on a strict multi-tenant architecture. The Agency is responsible for managing the permissions of its users across Headquarter (HQ), Branch, and Staff roles. You are solely responsible for all actions taken under your agency's account.
2. SaaS Billing, Wallets, and Payments
2.1. Subscriptions: Access to core modules is subject to timely payment of subscription fees. Billing is handled securely via Paystack.
2.2. Propel Wallet & Micro-transactions: Certain features (e.g., generating PDF documents, automated SMS notifications, advanced WhatsApp queries) consume Propel Wallet credits. Credits are non-refundable and hold no real-world cash value outside the Propel OS ecosystem.
2.3. Financial Engine & Split Payments: For agencies utilizing our Split Engine for tenant invoicing and landlord remittance, Propel OS acts strictly as a technological facilitator. We are not a bank, escrow agent, or financial institution. You are responsible for ensuring your payout rules and management cuts comply with your landlord agreements.
3. WhatsApp Command Center Integration
Propel OS offers a WhatsApp bot integration ("Command Center") powered by the Meta WhatsApp Business API. By utilizing this feature, you agree to the following:
- 3.1. Authorized Use The WhatsApp bot is provided strictly for internal operational workflows (e.g., searching your agency's tenant directory, logging payments, and bulk-importing CSV/Excel documents).
- 3.2. Meta Terms of Service Your use of the WhatsApp integration is subject to Meta’s WhatsApp Business Terms of Service and Commerce Policy. You must not use the bot to send spam, unauthorized bulk messages, or illegal content.
- 3.3. Security & Access The WhatsApp bot authenticates users based on the phone number registered in their Propel OS Staff profile. You are strictly responsible for securing your mobile devices. If a staff member leaves your agency, you must immediately revoke their Propel OS access to disconnect their WhatsApp integration.
4. Data Ownership and Acceptable Use
4.1. Your Data: You retain full ownership of all property, landlord, unit, and tenant data ("Agency Data") you input into Propel OS. You grant Propel OS a license to host, process, and securely back up this data solely to provide the Services to you.
4.2. Document Vault: Uploading .docx templates and generating PDFs must not violate any intellectual property laws. Propel OS is not liable for the legal validity of the lease agreements you generate using our engine.
4.3. Acceptable Use: You agree not to attempt to breach the data isolation boundaries (ScopedBaseModel), reverse-engineer the platform, or use the Services to process fraudulent real estate transactions.
5. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria.
